PDRLA Constitution

Name: Physical Disability Rugby League Australia Limited (PDRLA).

Nature: A not for profit public company limited by guarantee providing benevolent relief.

Liabilities: Member liability limited to the guarantee.

Guarantee: Each Member may contribute up to $10 if the Company is wound up.

Replaceable Rules: Do not apply.

Defined Terms & Interpretation: As per Schedule 1.

Core Object: Provide benevolent relief through financial, educational and physical activity support for disabled people involved in rugby league.

Activities: Raise funds, promote awareness, run competitions, source sponsorships, establish gift funds, encourage public involvement, partner with rugby league bodies.

Powers: Full powers of an individual and company limited by guarantee, used only for Company objects.

The Company must not distribute income or assets to Members except for reasonable remuneration or reimbursement supporting the Company’s objects.

Members may amend the constitution by special resolution, provided amendments do not affect charitable status.

Classes: Playing, Non Playing, Life, Corporate, Rugby League Organisation Members.

Applications: Must support Company objects and agree to the constitution.

Fees: Determined by Directors.

Cessation: Resignation, non‑payment, disciplinary action, dissolution, or non response.

Register: Secretary maintains Member register.

Includes dispute resolution, mediation procedures and disciplinary actions such as warnings, suspension, or expulsion.

Rules for general meetings, AGMs, notice periods, quorum, auditors, representatives and technology use.

Includes circular resolutions, distribution rules, and Member initiated resolutions.

One vote per Member, proxy rules, written votes and voting rights per membership class.

Number of Directors, appointments, elections, resignations and removal procedures.

Directors’ powers, delegation, payments and document execution.

Includes duties, conflicts of interest and governance responsibilities.

Meeting rules, technology use, quorum, resolutions and circular resolutions.

Includes Secretary duties, patrons, minutes, committees, by laws, separate funds, notices, financial year, indemnity, insurance, access and winding up procedures.
